Educational Materials

Our core mission and related core competence is educational. We are developing or are having professionals develop
educational materials that are intended to provide our members opportunities to learn from the experiences and
education of others. Among materials under development are: due diligence guidance templates and programs for
economic, financial, legal, and personal (background checks) due diligence. We are also developing guidance
materials and templates for understanding and negotiating the shareholder agreement, which is the basic document
that specifies the terms and conditions of the investment and the rights and remedies of all parties to the agreement.
Other materials are in varying stage of planning and design. A key consideration in preparation of these materials is
their direct application to your investment experience. Thus, they will be hands-on summaries that you can use as you
take decisions throughout the investment and monitoring processes.

Annual Conference

AAIC will hold a conference for its members each year. The conferences will feature speakers, workshops,
panel discussions, and networking. The principle value of our annual conference is the opportunity for members
from clubs and locales that are not their own or are not nearby to meet and share their experiences and to make
communication through the network and the Data Library personal, more open, and more complete. Meeting
face-to-face will tie the network tighter than other distributed networks are, even if the distances between
AAIC members or clubs are generally greater than are those of other networks. It builds credibility and trust
among our members and it creates a sense of responsibility in them to the interests of other members in
transactions and communications.

Future AAIC Products

Angel Investor Data Library
|
|
All members of AAIC clubs have access to the Angel Investor Data Library ("Data Library"). The Data Library is
an Internet-enabled database that includes contact information, investment preferences, and summary business and
education biography for each member. It also includes the detailed, transaction based investment experience of
each member and of non-members who participate in our quarterly survey of angel investors. This data is
confidential; access to it is limited only to the transactions. No transaction is identified with any particular
investor. Depending on the nature of your query, your search of transactions may produce the dates, amounts, and
company names of initial investments, follow-on investments, and liquidity events of all transactions in software
companies. Your search cannot yield the names of the investors who made those investments. AAIC retains that
information to assure the integrity of the data in the Data Library. Learning lessons from the experience of
others and understanding investment patterns as they form is a core purpose of the Data Library.
